  • Restaurant-owned eCommerce storefront infrastructure

  • AI-powered phone ordering and customer interaction tools

  • Optional AI Team services for customer engagement and demand support

ClickGrub provides technology infrastructure and does not operate restaurants.

2. No Guarantee of Results

We do not guarantee:

  • Revenue increases

  • Order volume

  • Customer retention outcomes

Performance varies by restaurant and market conditions.

3. Guest-Paid Service Markup

ClickGrub’s platform may include a guest-paid service markup on orders:

  • This fee supports technology, infrastructure, and platform operations

  • Restaurants retain their menu pricing and operational control

4. Restaurant Responsibilities

Restaurants using ClickGrub are solely responsible for:

  • Menu accuracy, pricing, and availability

  • Food preparation, quality, and delivery

  • Compliance with all applicable laws and regulations

  • Customer service related to orders

5. AI & Automation Disclaimer

AI systems are designed to assist with order-taking and customer interactions.

We do not guarantee:

  • Accuracy of all interactions

  • Error-free performance

  • Continuous uptime

6. Third-Party Services

ClickGrub relies on third-party providers (payment processors, POS integrations, delivery systems, AI platforms).

We are not responsible for their performance or availability.

7. Participation Rights (if applicable)

Participation rights of up to 70%:

  • Apply only to individual storefront performance

  • Are contingent upon defined criteria

  • Apply only in the event of a future monetization event

  • Do not represent ownership or equity

8. Intellectual Property

All platform technology, branding, and content are owned by ClickGrub or its licensors.

9. Limitation of Liability

To the fullest extent permitted by law, ClickGrub shall not be liable for:

  • Indirect or consequential damages

  • Lost profits, revenue, or business opportunities

  • Service interruptions or system failures

Use of the platform is at your own risk.

10. Indemnification

You agree to indemnify ClickGrub against claims arising from:

  • Your use of the platform

  • Restaurant operations

  • Violation of these Terms

11. Modifications

We may update these Terms at any time. Continued use constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the State of Florida.
